Florida’s Revised Limited Liability Company Act is similar to many other states’ LLC laws. Adopted in 2014, the revised law is designed to help Florida keep pace with the modernization of LLC law that has taken place in other states around the country. Under the revised law, some of the key benefits of forming a Florida LLC include:
- Limited liability for members – Members’ limited liability remains a hallmark of the LLC business structure, and it is one of the primary reasons for individual entrepreneurs and groups of business partners to consider forming an LLC.
- Flexibility for structuring ownership interests – Similar to a corporation, in an LLC it is possible to have different classes of ownership (referred to as “membership” with regard to LLCs). This allows for the offering of attractive equity investments without detracting from operating members’ control of the company.
- Pass–through tax treatment – By default, an LLC’s profits and losses “pass through” to members for purposes of reporting and paying federal income tax liability. However, members also have the option to elect for the two-tier tax treatment that applies to C corporations.
